Introduction
Supply chains today are global, interconnected, and exposed to constant disruption. This course equips executives, legal professionals, procurement leaders, and supply chain managers with advanced skills to design and manage supply chain contracts that withstand commercial, operational, and regulatory shocks. Participants will learn how to build contracts that protect business continuity while ensuring compliance, performance, and risk control across the entire supply chain.
The course covers the lifecycle of supply chain contracts, from supplier selection and due diligence to performance monitoring, compliance, and renewal. Participants will explore critical contract elements such as delivery terms, pricing, quality standards, and liability allocation. The course emphasizes the importance of aligning commercial objectives with legal safeguards, ensuring contracts are enforceable and resilient in complex supply environments.
A major focus is on commercial risk control, including price volatility, supply disruptions, force majeure, and supplier insolvency. Participants will learn how to identify risk exposures and design contractual mechanisms to mitigate them. The course introduces risk mapping tools, scenario planning, and contingency clauses that help organizations respond quickly to disruptions while minimizing financial and reputational damage.
Participants will also learn about compliance requirements affecting supply chain contracts, including anti-bribery, labor standards, environmental compliance, and data protection. The course covers how to integrate compliance obligations into contract terms, audit rights, and supplier reporting mechanisms. Practical strategies for enforcing compliance and managing supplier relationships will be shared to ensure ethical and regulatory adherence.
Emerging issues such as digital supply chain ecosystems, blockchain-enabled traceability, AI-driven procurement, and geopolitical trade risks are integrated into the course. Participants will gain insight into how technology and global trade dynamics impact supply chain contracting. The course also covers cross-border considerations, including import/export regulations, customs compliance, and international dispute resolution.
By the end of the course, participants will be able to draft, negotiate, and manage supply chain contracts with a strong focus on risk control, compliance, and performance.
