Course Introduction

The Financial Due Diligence and Transaction Auditing Training Course provides a comprehensive framework for examining the financial condition, transaction risks, quality of earnings, cash flows, assets, liabilities, working capital, and commercial assumptions underlying corporate transactions. The programme equips participants with practical techniques for independently analysing financial information and identifying matters that may materially influence transaction value, pricing, structure, and post-transaction performance.

The course examines the complete financial due diligence and transaction audit lifecycle, from engagement planning and information requests through historical financial analysis, quality of earnings assessment, working capital review, debt and debt-like items, cash-flow analysis, financial modelling, tax considerations, transaction adjustments, and final reporting. Participants will learn how to distinguish reported financial performance from sustainable underlying performance and identify areas requiring further investigation.

Participants will explore due diligence considerations relevant to acquisitions, disposals, mergers, joint ventures, investments, refinancing, restructuring, private equity transactions, strategic investments, and other significant corporate transactions. The programme addresses historical financial statements, management accounts, forecasts, budgets, customer and supplier concentrations, recurring and non-recurring items, related-party transactions, contingent liabilities, capital expenditure, and other factors affecting the financial profile of a transaction.

A strong emphasis is placed on transaction auditing techniques that test the reliability and completeness of financial information and supporting evidence. Participants will learn how to reconcile financial records, investigate unusual transactions, review supporting documentation, analyse transaction flows, identify accounting irregularities, test controls, and assess whether reported financial information accurately reflects the underlying economic substance of the business or transaction.

The programme also incorporates emerging transaction risks, including technology-driven businesses, artificial intelligence, digital assets and platforms, cybersecurity exposure, cloud dependencies, sustainability-related financial obligations, complex international structures, supply-chain disruption, inflation, foreign exchange volatility, and changing regulatory requirements. Participants will examine how these issues can affect valuation, financial forecasts, transaction structures, liabilities, and the overall risk profile of a deal.

By completing the programme, participants will be able to plan and conduct rigorous financial due diligence and transaction audits, challenge financial assumptions, identify material risks, quantify potential adjustments, and communicate findings effectively to investors, boards, lenders, transaction teams, management, and other stakeholders. The course supports more informed transaction analysis, stronger financial assurance, improved risk identification, and better protection of transaction value.
